Terms of Service

1. Acceptance of Terms

By accessing or using the token migration platform operated by Crosschain Ventures, LLC (the "Platform"), you ("you", "User", or "Participant") agree to be bound by these Terms of Service ("Terms") and acknowledge that you have read and understood our Privacy Policy. If you do not agree, you may not use the Platform.

2. Scope of Platform

The Platform is strictly intended for non-financial, meme-based community tokens ("Meme Tokens") originally created using third-party tools such as Pump.fun. These tokens are typically experimental, humorous, and community-driven in nature. The Platform exists to support the creative and often playful evolution of such projects by enabling token creators and holders to migrate to a new version or format of their token using non-custodial tools.

We do not support tokens designed or marketed as financial products, investment instruments, or any form of regulated asset. Users are responsible for understanding and complying with any applicable local regulations.

3. Eligibility and Representations

By using the Platform, you represent and warrant that:

• You are at least 18 years of age and legally capable of entering into this agreement;
• You are not subject to any sanctions or prohibited use laws in your jurisdiction;
• If acting as a token creator or administrator, you have the authority to initiate the migration on behalf of the token project;
• You understand that Meme Tokens are community experiments without intrinsic financial value or guaranteed utility.

4. Non-Custodial Architecture

Crosschain Ventures, LLC does not take custody of any tokens, assets, or private keys. All migration operations are performed through non-custodial smart contracts. You are solely responsible for your wallet access, transaction signing, and private key security.

5. No Guarantees or Promises

Crosschain Ventures, LLC provides access to the Platform as-is, without any representations, warranties, or guarantees regarding:

• The success, value, liquidity, or functionality of any token;
• The security, permanence, or expected outcomes of the migration process;
• The reliability or performance of the Platform, smart contracts, or associated tools.

Given the inherently experimental nature of meme tokens and community projects, outcomes may vary — and that's expected. This is a creative space. The Platform facilitates evolution, but cannot ensure any particular result.

6. Fees and Transparency

Fees related to token migrations will be clearly disclosed at the time of interaction and deducted automatically via smart contract execution. By using the Platform, you consent to these fees.

7. Prohibited Uses

You may not use the Platform to:

• Migrate or promote tokens that constitute securities or regulated financial products;
• Engage in fraud, spam, or deceptive conduct;
• Use the Platform in violation of any applicable law or regulation;
• Interfere with or disrupt the integrity or performance of the Platform;
• Deploy malicious code or interact with the smart contracts in unintended ways.

Crosschain Ventures, LLC reserves the right to suspend or restrict access to any user or token at its sole discretion.

8. No Investment Advice

Nothing on or through the Platform constitutes legal, financial, investment, or tax advice. Crosschain does not act as a broker-dealer, investment adviser, or exchange. The tools provided on the Platform are intended solely for creative experimentation and meme token migration, and not as financial or investment products. If you require advice, please consult with a licensed professional.

9. Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Crosschain Ventures, LLC, its officers, members, employees, affiliates, contractors, and agents from and against any and all claims, losses, damages, liabilities, and expenses (including legal fees) arising out of or related to:

• Your use or misuse of the Platform;
• Your token migration activities;
• Any breach of these Terms;
• Any claim that your use of the Platform violates the rights of a third party or any applicable law;
• Any misrepresentation made by you related to token ownership, intent, or project authenticity.

10. Limitation of Liability

To the maximum extent allowed by law, Crosschain Ventures, LLC shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to loss of profits, token value, or data, whether in contract, tort, or otherwise, even if advised of the possibility of such damages.

In no event shall Crosschain's total liability to you exceed the total amount of fees paid by you to use the Platform in the twelve (12) months preceding the event giving rise to the claim.

11. Changes to These Terms

We may update these Terms at any time, at our sole discretion. Material changes will be communicated through the Platform. Your continued use of the Platform following any updates constitutes acceptance of the revised Terms.

12. Termination

We may suspend or terminate access to the Platform for any user, at any time, without prior notice, including for violations of these Terms or conduct deemed harmful to the Platform or its community.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, and the Federal Arbitration Act shall govern the interpretation and enforcement of the arbitration provisions below, without regard to conflict of law principles.

In the event of a dispute, the parties agree to first attempt to resolve the matter through good-faith negotiation. If unresolved, any claim or controversy arising out of or relating to the Platform or these Terms shall be finally resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.

The arbitration shall take place in Reno, Nevada, in English. The arbitrator shall have exclusive authority to resolve all disputes, including the scope, enforceability, and interpretation of this arbitration agreement (gateway issues).

Opt-Out for Small Claims: Either party may elect to pursue a claim in small claims court in their jurisdiction of residence or operation if it qualifies under applicable rules.

Class and Public-Injunction Waiver: You agree that any arbitration or legal proceeding shall be conducted on an individual basis only. You waive any right to participate in a class action, collective action, or public injunction. This waiver shall survive the termination of your use of the Platform.

Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction. Notwithstanding the foregoing, Crosschain Ventures, LLC may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or prevent unauthorized access to the Platform.

14. Blockchain Risks & Assumption of Loss

By using the Platform, you acknowledge and accept the inherent risks of interacting with public blockchains, including but not limited to:

• Irreversible transactions;
• Loss of access due to mismanagement of private keys or wallet credentials;
• Smart contract vulnerabilities or exploits;
• Transaction delays or failures due to network congestion;
• Permanent loss of assets due to bugs, protocol changes, or third-party actions.

You agree to assume all such risks and expressly waive any and all claims against Crosschain Ventures, LLC arising from them. Crosschain Ventures, LLC does not and cannot guarantee the security or immutability of any blockchain network or protocol used in connection with the Platform.

15. Sanctions / KYC-AML Compliance

The Platform may not be used by individuals or entities located in, incorporated in, or otherwise associated with embargoed jurisdictions, including but not limited to: Cuba, Iran, North Korea (DPRK), Syria, the Crimea region of Ukraine, or any jurisdiction subject to comprehensive U.S. sanctions (as maintained by OFAC).

Crosschain Ventures, LLC reserves the right to request proof of identity and location from any user at any time in order to comply with applicable laws and regulations. We may restrict, freeze, or terminate access to the Platform immediately upon suspicion of a violation of these restrictions. You agree to fully comply with all applicable export control and sanctions laws and to provide any requested compliance documentation upon reasonable request.
